Corporate governance beyond compliance a study of integrity and culture

Abstract

Corporate governance, over the last few decades has become the most important part of corporations as the investments involved in corporates is more than 5 trillion dollars globally, even some corporates turnovers are bigger than some small countries total GDP. The primary focus of this piece of research work was to investigate corporate governance compliance practices along with the some of the beyond compliance key factors like integrity and culture in its strategic decision making of Indian listed companies. Research work has specifically looked into the aspects of corporate governance mentioned here. First, the extent of compliance practiced by the companies as recommended by SEBI and Indian Company Act 2017, Second, this research work has deeply worked on the key factors like integrity and culture which are beyond compliance for success and failures of corporates despite implementing all rules and regulations of corporate governance. Research has been done which suggest the models of corporate governance further to compliance which are beneficial for the corporates for successful corporate governance. The research has been conducted with the sample size of 20 Indian listed companies of all sectors of industry with the direct interaction with the board of directors, CEO and auditors of the companies to have insight into the process of strategic decision making of board and to judge the basic core factors influencing it. The research work has been done with an intent to find inside out of driving models of beyond compliance from beautiful portrait picture of corporate governance compliance of the corporations.
